1. Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and SheraAI Technologies ("Company," "we," "us," or "our") governing your access to and use of the SheraAI LMS application, website, and related services (collectively, the "Service").

1.1 Agreement to Terms

By accessing or using our Service, you agree to:

• Any additional terms applicable to specific features
• All applicable laws and regulations

1.2 Authority to Accept

If you are accepting these Terms on behalf of an organization (such as a school or educational institution), you represent and warrant that:

• You have the legal authority to bind that organization to these Terms
• You have obtained all necessary approvals to enter into this Agreement
• The organization agrees to be bound by these Terms

2. Description of Service

SheraAI LMS is a comprehensive Learning Management System designed for educational institutions. The Service includes but is not limited to:

• Student Management: Enrollment, profiles, academic records
• Attendance System: Digital attendance tracking with offline capabilities
• Fee Management: Fee collection, receipts, payment tracking
• Academic Management: Classes, subjects, timetables, assignments
• Communication: SMS notifications, in-app messaging
• Reporting: Academic reports, analytics, insights
• Multi-Role Access: Role-based dashboards and permissions

2.1 Service Availability

We strive to provide continuous service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency repairs or updates
• Circumstances beyond our reasonable control
• Third-party service outages

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

3. Eligibility

3.1 Age Requirements

• You must be at least 18 years old to create an administrative account
• Student and parent accounts may be created for users under 18 with appropriate parental/guardian consent
• Schools are responsible for obtaining necessary parental consent for student accounts

3.2 Institutional Eligibility

The Service is intended for use by:

• Registered educational institutions (schools, colleges, academies)
• Tutoring centers and coaching institutes
• Other legitimate educational organizations

3.3 Geographic Restrictions

The Service is available worldwide, subject to compliance with local laws and regulations. You are responsible for ensuring your use complies with applicable laws in your jurisdiction.

4. User Accounts

4.1 Account Creation

• You must provide accurate, complete, and current information
• You must maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your credentials
• You must not share your account credentials with others

4.2 Account Security

You are solely responsible for:

• All activities that occur under your account
• Maintaining the security of your password
• Immediately notifying us of any unauthorized use
• Ensuring proper logout from shared devices

4.3 Account Verification

We may require verification of your identity or institutional affiliation. Failure to provide requested verification may result in account suspension or termination.

5. User Roles & Permissions

SheraAI LMS supports multiple user roles with different access levels:

Role assignments are managed by administrators. Users must only access data and features appropriate to their assigned role.

6. Subscriptions & Payments

6.1 Subscription Plans

We offer various subscription plans:

• Free Trial: Limited features for evaluation (typically 14-30 days)
• Basic Plan: Essential features for small institutions
• Professional Plan: Advanced features for growing institutions
• Enterprise Plan: Custom solutions for large institutions

6.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are exclusive of applicable taxes unless stated otherwise
• Prices may change with 30 days notice for existing subscribers
• Failure to pay may result in service suspension

6.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel auto-renewal through your account settings or by contacting support.

6.4 Payment Methods

We accept payment through various methods including credit/debit cards, UPI, net banking, and other methods as available in your region.

7. Refund Policy

7.1 Refund Eligibility

Refunds may be issued under the following circumstances:

• Within 7 Days: Full refund if requested within 7 days of initial purchase and Service has not been substantially used
• Service Issues: Partial or full refund if the Service is materially defective and we cannot resolve the issue
• Billing Errors: Full refund for any billing errors on our part

7.2 Non-Refundable Items

• Subscriptions after 7 days of use
• Partially used subscription periods (no pro-rata refunds)
• Setup fees and customization charges
• SMS credits that have been used
• Services terminated due to Terms violation

7.3 Refund Process

To request a refund:

1. Email refunds@shera-ai.com with your subscription details
2. Include reason for refund request
3. Allow 5-10 business days for processing
4. Refunds will be issued to the original payment method

8. Acceptable Use Policy

8.1 Permitted Use

You may use the Service only for lawful purposes related to educational institution management.

8.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the rights of others, including privacy and intellectual property rights
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated scripts or bots to access the Service
• Sell, resell, or lease access to the Service without authorization
• Impersonate any person or entity
• Collect or harvest user information without consent
• Use the Service to send spam or unsolicited communications
• Upload false, misleading, or defamatory content
• Harass, abuse, or harm other users
• Circumvent any security features or access controls

8.3 Enforcement

Violation of this Acceptable Use Policy may result in:

• Warning or temporary suspension
• Account termination without refund
• Legal action where appropriate
• Reporting to law enforcement authorities

9. User Content

9.1 User Content Ownership

You retain ownership of all content you upload to the Service ("User Content"), including student data, academic records, and institutional information.

9.2 License Grant

By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to:

• Store and process your content to provide the Service
• Create backups for data security purposes
• Display content to authorized users within your institution

9.3 Content Responsibility

You are solely responsible for:

• The accuracy and legality of User Content
• Ensuring you have rights to upload the content
• Obtaining necessary consents for personal data
• Complying with applicable data protection laws

9.4 Content Removal

We reserve the right to remove content that violates these Terms or is otherwise objectionable, without prior notice.

10. Intellectual Property

10.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by SheraAI Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Trademarks

"SheraAI," "SheraAI LMS," and associated logos are trademarks of SheraAI Technologies. You may not use these marks without our prior written consent.

10.3 Restrictions

You may not:

• Copy, modify, or distribute the Service
• Remove any copyright or proprietary notices
• Create derivative works based on the Service
• Use our trademarks without permission

10.4 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unlimited, irrevocable, perpetual, royalty-free license to use and incorporate such feedback without compensation to you.

11. Data Ownership & Portability

11.1 Your Data

You own all data you enter into the Service. We do not claim ownership of your institutional or student data.

11.2 Data Export

You may request export of your data at any time. We will provide your data in a standard format within a reasonable timeframe.

11.3 Data After Termination

Upon account termination:

• You have 30 days to request data export
• After 30 days, your data may be permanently deleted
• Some data may be retained for legal compliance

12. Disclaimer of Warranties

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be available at all times
• Results obtained will be accurate or reliable
• Any errors will be corrected

Any advice or information obtained through the Service does not create any warranty not expressly stated in these Terms.

13. Limitation of Liability

13.1 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR
• ONE HUNDRED US DOLLARS ($100 USD)

13.2 Basis of the Bargain

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

13.3 Jurisdictional Limitations

Some jurisdictions do not allow limitation of implied warranties or exclusion of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless SheraAI Technologies and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any claim that your User Content caused damage to a third party

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

• Contacting your administrator (for managed accounts)
• Emailing support@shera-ai.com with your termination request
• Using account deletion features in the app (where available)

15.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason including:

• Breach of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Extended inactivity (with prior notice)
• Request by law enforcement or government agencies
• Discontinuation of the Service

15.3 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• We may delete your data after the retention period
• Provisions that should survive termination will remain in effect
• You remain liable for any fees incurred prior to termination

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@shera-ai.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except for claims that qualify for small claims court.

16.3 Class Action Waiver

• Arbitration shall be conducted by a single arbitrator
• The arbitrator's decision shall be final and binding
• Each party shall bear its own costs and fees
• Arbitration may be conducted remotely

16.5 Exceptions

Either party may seek:

• Injunctive relief in courts of competent jurisdiction
• Small claims court resolution for qualifying disputes

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SheraAI Technologies is incorporated, without regard to conflict of law principles.

You agree that any legal action or proceeding relating to these Terms or the Service shall be brought exclusively in the courts of competent jurisdiction, and you consent to the personal jurisdiction of such courts.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification for significant changes
• Displaying in-app notifications

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

• Such provision shall be modified to the minimum extent necessary to make it valid and enforceable
• If modification is not possible, the provision shall be severed
• All other provisions shall remain in full force and effect
• The intent of the parties shall be preserved to the greatest extent possible

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and SheraAI Technologies concerning the Service.

These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and us regarding the Service.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
